We counsel both borrowers and lenders in commercial lending transactions. We have in-depth experience with virtually every form of financing and type of collateral, including real property, equipment, accounts, securities, and intangible assets. We work extensively with letter of credit-backed financings and equipment leasing. The negotiation and preparation of loan documents is only part of the service FCW&S can provide with respect to commercial lending. In addition, the firm assists in developing financing strategies and structuring collateral to maximize the benefit of a commercial loan transaction.

We also advise and assist clients in structuring, restructuring, and liquidating of corporate and non-corporate entities. We assist with entity formation issues such as drafting start-up documentation (for corporations, partnerships, joint ventures, and limited liability companies) and negotiating and preparing commercial documents. We represent clients in connection with partnership matters, including the withdrawal or removal of partners, admission of new partners, restructuring or recapitalizing partnerships, and dealing with the Internal Revenue Service.
